An agreement between AMADE and its nationale affiliates

The World Association of Children's Friends (herein after named AMADE International) represented by its President, and acting under the authorisation given to this end by the Board of Directors,

on the one hand, and,

the National Association of Children’s Friends of COUNTRY (herein after named AMADE-COUNTRY) represented by its President and by _____________ designated to this end by the Executive Committee of its Board of Directors,

on the other hand,

willing to define and specify their relationships, within the framework of the new Statutes adopted by AMADE International, with a view to act in a concerted and harmonious manner to pursue their mutually agreed aims,

have agreed to modify and draft the previously signed protocol of agreement binding them, as follows:

Article 1

AMADE-COUNTRY, taking into account the resources and financial means at its disposal, has the right to implement any major programme of its choice, be it on its own or in association with any other organisation of its choice.

Article 2

However, AMADE-COUNTRY, before making its decision, and if a major programme, shall communicate this to AMADE-International beforehand and provide all necessary information in order to allow the latter to verify, within the framework of its general policy, the appropriateness of implementing the foreseen programme.

Where appropriate, AMADE-COUNTRY shall take into account the observations drawn up by AMADE International concerning the programme.

Article 3

Within the framework of its national activities, AMADE-COUNTRY has the freedom to organise any collection of funds or event which may provide it with the resources necessary to its action. All forms of fundraising shall comply with respect to the general aims set up by both organisations.

Article 4

In the case of a programme being implemented jointly by AMADE International and AMADE-COUNTRY, the respective contribution by each organisation will be determined by mutual agreement.

Article 5

AMADE-COUNTRY shall keep AMADE International posted as to its activities. To this end, AMADE-COUNTRY shall send, within the first trimester of the calendar year, a yearly moral and financial report on the aforementioned activities.

AMADE-COUNTRY shall also, in the shortest timeframe, inform AMADE International of the composition of its Board of Directors and Executive Committee, as well as of any change in the above compositions, or of any relocation of its headquarters.

AMADE International shall keep AMADE-COUNTRY regularly informed of its activities.

Article 6

AMADE-COUNTRY will be represented at the General Assembly of AMADE International in accordance with the provisions of Article 12 of its Statutes. AMADE International may, should the need arise, invite a delegate of AMADE-COUNTRY to speak before its Board of Directors or Executive Committee.

Article 7

AMADE-COUNTRY shall submit for the prior approval of AMADE International, notably:

  1. any proposed agreement or arrangement to be concluded with other national affiliates of AMADE International
  2. any project for the creation of a foundation,
  3. any proposed amendment to the statutes governing it,
  4. any proposal for its dissolution.

Article 8

The two parties to the present agreement shall consult each other on all questions of common interest which may arise for either of them and may call for a concerted solution.

Article 9

The present protocol shall only be amended by common agreement between the two signatories.

Article 10

This Protocol of Agreement may be terminated unilaterally by either of the two parties under the proviso of a three-month notice.

AMADE International may terminate this Protocol of Agreement if it considers that:

  • its stipulations are not complied with;
  • AMADE-COUNTRY is not able to prove an actual activity in pursuance of the objectives set up by Article 3 of the Statutes of AMADE International;
  • the circumstances justify it.

AMADE-COUNTRY may terminate this Protocol of Agreement if it considers that:

  • its stipulations are not complied with;
  • the circumstances justify it.

In whichever case, at the expiration of the three-month notice and effective termination of the present Protocol of Agreement, AMADE-COUNTRY will be forbidden the use of the name of AMADE and to act on its behalf.

Article 11

The Courts of Monaco have jurisdiction over any point of contention that may arise from the present Protocol of Agreement.
